PARTNERSHIP AGREEMENT

Staking Infrastructure Collaboration

This Partnership Agreement (“Agreement”) is made and entered into as of 09, DEC, 2024 by and between:

Bitcoin Protocol Development Fund

(“Foundation”)

Represented by: Pang Wei Warque, Director of Global Sales

PARTY B

NEAR KOREA

(“NEAR KOREA”)

Represented by: Edward Kim, CEO

PURPOSE

The Foundation and NEAR KOREA (collectively, the "Parties") hereby agree to collaborate on the development, promotion, and operation of a secure, scalable, and officially endorsed staking infrastructure for the [Blockchain Name] ecosystem. This Agreement establishes the framework for technical integration, joint marketing, and mutual support to enhance staking accessibility and reliability for global users.

SCOPE OF COLLABORATION

2.1 Technical Integration

Foundation shall:

Provide NEAR KOREA with early access to protocol upgrades.

Grant NEAR KOREA official node operator status (if applicable) with priority support.

Share technical documentation and best practices for staking implementation.

NEAR KOREA shall:

Integrate Bitcoin Protocol Development Fund’s staking protocol in compliance with Foundation guidelines.

Implement security audits (via Foundation-approved auditors) and submit reports to the Foundation.

Maintain 99.9% uptime for staking nodes and provide real-time monitoring data to the Foundation.

2.2 Joint Initiatives

Co-Branded Staking Programs:

Launch a Foundation-endorsed staking pool on NEAR KOREA’s platform, with APY incentives funded by the Foundation (e.g., "Foundation Boost: +2% APY for 6 months").

Create educational content for global distribution.

Developer Support:

NEAR KOREA will allocate a dedicated engineering team to assist Foundation-led hackathons or grants programs.

Foundation will feature NEAR KOREA in its official partner directory and ecosystem tools (e.g., wallets, explorers).

2.3 Marketing & Promotion

Official Endorsement:

Foundation grants NEAR KOREA the right to use the “Official BTC, ETH, SOL, XRP, WLD, AVAX Staking Partner” designation in all marketing materials (website, social media, press releases).

Foundation will co-sign press releases announcing major milestones (e.g., "$100M TVL in BTC, ETH, SOL, XRP, WLD, AVAX staking on NEAR KOREA").

Community Engagement:

NEAR KOREA will host AMA sessions with Foundation representatives on platforms like Twitter Spaces or Discord.

Foundation will promote NEAR KOREA’s staking services in its official newsletters, blog posts, and social media.

OBLIGATIONS & COMPLIANCE

3.1 Security & Transparency

NEAR KOREA shall:

Conduct quarterly security audits by Foundation-approved firms (e.g., CertiK, SlowMist) and share reports with the Foundation.

Implement multi-signature wallets for staked assets, with at least one key held by a Foundation-approved custodian (if required).

Provide the Foundation with read-only access to staking node performance dashboards.

Foundation shall:

Notify NEAR KOREA of critical protocol changes at least 30 days in advance.

Review and approve NEAR KOREA’s staking smart contracts prior to deployment.

3.2 Regulatory Compliance

Both Parties agree to:

Comply with all applicable laws (e.g., AML/KYC, securities regulations) in their respective jurisdictions.

Cooperate in regulatory audits if requested by authorities (e.g., FATF, SEC, MiCA).

Avoid misleading claims (e.g., "guaranteed returns") in joint marketing materials.

TERM & TERMINATION

Term: This Agreement shall commence on 09, DEC, 2024 and continue for 24 months, unless terminated earlier as per Section 4.2.

Termination:

Either Party may terminate this Agreement with 90 days’ written notice for material breach (e.g., security incident, regulatory violation).

Foundation may terminate immediately if NEAR KOREA violates the Foundation’s code of conduct or brand guidelines.

Upon termination, NEAR KOREA must:

Cease using the “Official Partner” designation.

Transfer all staked assets back to users within 30 days.

Remove Foundation’s branding from all materials within 14 days.

CONFIDENTIALITY

Both Parties agree to keep non-public technical, financial, or strategic information confidential for 3 years post-termination.

Exceptions: Information that is publicly available or required to be disclosed by law.

INDEMNIFICATION

NEAR KOREA shall indemnify the Foundation against any third-party claims arising from:

NEAR KOREA’s negligence or misconduct (e.g., security breach, fraud).

Violations of intellectual property rights (e.g., unauthorized use of Foundation’s trademarks).

Foundation shall indemnify NEAR KOREA against claims arising from:

Protocol-level bugs (unless caused by NEAR KOREA’s implementation errors).

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of Jurisdiction, USA.

Disputes shall be resolved through arbitration in Alabama under the rules of the International Chamber of Commerce (ICC).

MISCELLANEOUS

Amendments: Any changes to this Agreement must be in writing and signed by both Parties.

Assignment: Neither Party may assign this Agreement without the other’s prior written consent.

Entire Agreement: This document constitutes the entire agreement between the Parties and supersedes all prior discussions.

Severability: If any provision is found unenforceable, the remainder of the Agreement shall remain in effect.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first written above.

ANNEX A: BRANDING GUIDELINES

Logo Usage:

NEAR KOREA may use the Foundation’s logo only in approved co-branded materials.

Minimum logo size: 120px width (digital), 1 inch (print).

Color Palette:

Foundation’s official colors must be used.

Trademark Notice:

All materials must include: BTC, ETH, SOL, XRP, WLD, AVAX is a registered trademark of Bitcoin Protocol Development Fund.
